The first reason why a contract could be broken is down to a technicality. Perhaps somebody has not initialled a specific section or provided an electronic signature where needed. Alternatively, it could be the case that proper legal language has not been used. In this situation, it is important that somebody who knows what they are doing checks over the contract to ensure that all of these loopholes are properly closed off. Otherwise, you may find yourself with a contract that is not quite as iron-clad as you had initially thought that it was.

Impossible to Fulfil

The terms of a contract and the obligations made by the different parties need to be realistic and possible to fulfil. Otherwise, you could find yourself in a situation in which the contract has to be broken as one side is not able to do what they had initially said. For example, if you are entering into an agreement with a supplier, it makes sense that you check out their case studies to ensure that they have done similar work in the past and they are likely to be able to do the same again. Ultimately, you want to be able to minimise the risk of a breach of contract at the earliest possible opportunity.

Mistake or Misrepresentation

The importance of making a contract clear and obvious comes into play here. It may be the case that contracts are broken as one side did not fully understand what they were entering into. Alternatively, there may have been an element of misrepresentation somewhere down the line. For this reason, it is important that everybody involved sits down and goes through each section of the contract in a clear and meticulous manner. If necessary, it is worth getting somebody involved who has a legal background and is better able to explain what is going on.

Breach of Contract

It could simply be the case that the contract has been breached by one party. There are several different ways that this could be the case. First of all, it may be that somebody refuses to do their part of it. Alternatively, they could be doing something that was expressly prohibited, or you are being blocked from doing what you were supposed to be doing. Legal disputes can occur in this situation, so it is certainly worth getting some clear and comprehensive advice on this front.
